1. Terms of Use

Welcome to our website. For purposes of this Agreement, the owner and operator of the website is referred to as “AYYES,” “we,” “us,” or “our.” Before accessing or using our website or any services provided through or in connection with it (collectively, the “Service”), please carefully review these Terms of Use (the “Agreement”). This Agreement constitutes a legally binding contract between you and AYYES.

By accessing or using the Service, you acknowledge and agree that:

  1. You have read, understood, and agree to be bound by this Agreement;
  2. You agree to the terms of our Privacy Policy, which is incorporated herein by reference;
  3. You are at least 18 years of age;
  4. You are a United States citizen; and
  5. You possess the legal authority to enter into this Agreement.

If you do not agree to all of the terms and conditions contained in this Agreement, you may not access or use the Service.

AYYES may update, modify, or amend this Agreement at any time by posting the revised version on our website. Your continued use of the Service after any such changes constitutes your acceptance of the updated Agreement. It is your responsibility to review this Agreement periodically for changes.

2. Introduction

This Terms of Service Agreement (“Agreement”) governs your access to and use of the websites, applications, desktop software, mobile applications, APIs, monitoring tools, AI‑powered features, and related services provided by AYYES, LLC, a Texas‑based company (“AYYES,” “we,” “us,” or “our”).

By accessing or using any AYYES Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy, Cookie Policy, EULA, and Disclaimer, which are incorporated herein by reference.

If you do not agree to this Agreement, you may not access or use the Services.

3. Definitions

For purposes of this Agreement:

  • “Services” means all AYYES software, applications, websites, monitoring tools, AI features, and related offerings.
  • “Application” means AYYES Work Manager, AYYES Time Tracker, and any associated desktop or mobile software.
  • “Account Owner” means the individual or entity who creates and controls the primary AYYES account.
  • “User” means any individual accessing the Services under an Account Owner.
  • “Subscription” means a paid plan purchased by the Account Owner.
  • “Free Plan” means the limited‑feature plan available at no cost.
  • “Trial” means the 30‑day free trial period.

4. Eligibility

You must be at least 18 years old and have the legal authority to enter into this Agreement.
Use of the Services must comply with all applicable laws.

5. Account Registration

To use the Services, you must:

  • Provide accurate and complete information
  • Maintain the confidentiality of your credentials
  • Ensure all Users comply with this Agreement
  • Notify AYYES of unauthorized access

You are responsible for all activity under your account.

6. Trial Terms

6.1 Trial Period

  • Standard Trial: 30 days
  • Extended Trial: Account Owner may request an additional 30 days
  • Maximum: 3 trial accounts per email
  • Trial includes full feature access
  • Unlimited invited users

6.2 User‑Specific Trial Periods

Each user receives their own 30‑day trial, regardless of when they join.

6.3 Trial Expiration — Account Owner

Upon expiration:

  • Access is blocked
  • Owner may select Free Plan or Purchase a Paid Plan

6.4 Trial Expiration — Team Members

Team members see a “Trial Ended” screen and may request a license.

6.5 Trial Ending Notifications

AYYES sends reminders:

  • 7 days before
  • 2 days before
  • Same day

7. Free Plan Terms

7.1 Free Plan Licenses

  • 2 free licenses per account
  • 1 assigned automatically to the Account Owner
  • 1 assignable to any team member
  • Free licenses cannot be unassigned after 24 hours

7.2 Free Plan Limitations

  • Time tracking disabled
  • Screenshot reports show dummy data
  • Activity logs limited

8. Pricing, Fees, and Changes

8.1 General Pricing Terms

All pricing for AYYES Services, including but not limited to monthly subscriptions, annual subscriptions, add‑on services, and promotional discounts, is subject to change at any time and without prior notice.

8.2 Pricing Changes

AYYES may, at its sole discretion and without notice:

  • Adjust standard pricing
  • Modify or discontinue discount pricing
  • Modify or discontinue promotional pricing
  • Modify or discontinue annual subscription pricing
  • Modify renewal pricing
  • Modify plan terms, features, or included benefits

8.3 Discounts and Promotional Pricing

Any discount, introductory rate, promotional rate, or incentive pricing is:

  • Provided at AYYES’s sole discretion
  • Not guaranteed for future purchases
  • Subject to modification or termination without notice
  • Not guaranteed to apply to renewals

8.4 Renewal Pricing

Renewal pricing is not guaranteed and may differ from the initial purchase price.
Renewal pricing is subject to change without notice.

8.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for all such amounts.

9. License Management and Named License Rules

9.1 Named License Requirement

All AYYES licenses are NAMED LICENSES.
A Named License is permanently associated with a specific individual user for the period of the plan.

9.2 Non‑Transferability

Once a Named License is assigned to a user:

  • It is final
  • It is non‑transferable
  • It cannot be re‑assigned to another user
  • It cannot be moved to a different user
  • It cannot be shared among multiple users

This rule applies to:

  • Free Plan licenses
  • Trial licenses
  • Monthly paid licenses
  • Annual paid licenses
  • Promotional or discounted licenses

9.3 License Assignment

The Account Owner is responsible for assigning licenses.
Once assigned, the license is permanently tied to that user unless:

  • The license expires
  • The plan is cancelled
  • The account is terminated

9.4 License Quantity

Subscription quantity defaults to the number of users in the account (active + inactive).
Pending users are not counted until they join.

10. Acceptable Use

You may not:

  • Use the Services for unlawful purposes
  • Interfere with system integrity
  • Attempt to bypass security
  • Reverse engineer the Application
  • Use the Services for competitive analysis
  • Misuse monitoring or AI features

11. Monitoring Features

The Services may collect:

  • Screenshots
  • Browser URL activity
  • GPS location
  • IP address
  • Device telemetry
  • Application usage
  • Productivity scoring

You are solely responsible for obtaining all legally required notices and consents.

12. AI/ML Features

The Services may use AI/ML to process:

  • User inputs
  • Uploaded content
  • Behavioral data
  • Telemetry
  • Productivity signals

AI outputs may be probabilistic and may contain inaccuracies.
AI outputs do not constitute professional advice.

13. Data Protection & Privacy

Your use of the Services is governed by:

  • AYYES Privacy Policy
  • AYYES Cookie Policy
  • AYYES GDPR Compliance Statement

AYYES complies with:

  • GDPR / UK GDPR
  • CPRA

No system is completely secure.

16. Intellectual Property

AYYES retains all rights to:

  • Software
  • AI models
  • Algorithms
  • Documentation
  • Designs
  • Trademarks

You retain ownership of your uploaded content.

17. No Warranties

OUR WEBSITE, THE APPLICATION, THE SERVICES, AND ALL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, AYYES, LLC, AND ITS PARENT, SUBSIDIARIES, PARTNERS, AGENTS, AFFILIATES, LICENSORS, PARTICIPATING ADVERTISERS, SUCCESSORS, AND ASSIGNS, EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  1. ANY WARRANTIES REGARDING THE AVAILABILITY, ACCURACY, COMPLETENESS, APPROPRIATENESS, RELIABILITY, TIMELINESS, OR USEFULNESS OF THE WEBSITE, THE APPLICATION, THE SERVICES, OR ANY WEBSITE CONTENT;
  2. ANY WARRANTIES OF TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE;
  3. ANY WARRANTIES THAT THE WEBSITE, APPLICATION, OR SERVICES WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY CONTENT, FILES, OR DATA YOU ACCESS OR DOWNLOAD WILL BE FREE OF VIRUSES, MALWARE, WORMS, TROJAN HORSES, OR OTHER HARMFUL OR DESTRUCTIVE COMPONENTS.

AYYES MAKES NO WARRANTY OR REPRESENTATION THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE IN COMBINATION WITH ANY HARDWARE, SOFTWARE, SYSTEMS, OR DATA NOT PROVIDED BY AYYES, OR THAT DEFECTS WILL BE CORRECTED.

18. Limitation of Liability

IN NO EVENT SHALL AYYES, LLC, OR ITS PARENT COMPANY, SUBSIDIARIES, PARTNERS, AGENTS, AFFILIATES, LICENSORS, ADVERTISERS, SUCCESSORS, ASSIGNS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR SHAREHOLDERS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

  1. ANY INDIRECT, DIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:
    • LOSS OF BUSINESS PROFITS
    • BUSINESS INTERRUPTION
    • LOSS OF PROGRAMS OR INFORMATION
    • LOSS OF DATA
    • LOSS OF GOODWILL
    • LOSS OF REVENUE
    • COST OF SUBSTITUTE SERVICES
    • OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES
  2. ANY DAMAGES ARISING OUT OF OR RELATED TO:
    • THE AVAILABILITY, USE OF, RELIANCE ON, OR INABILITY TO USE THE WEBSITE, APPLICATION, SERVICES, OR WEBSITE CONTENT;
    • ANY SERVICES OR CONTENT PROVIDED BY THIRD‑PARTY ADVERTISERS OR THIRD‑PARTY SERVICE PROVIDERS;
    • ANY ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE WEBSITE OR ITS CONTENT;
    • ANY HARMFUL, DESTRUCTIVE, OR CONTAMINATING PROPERTIES OF THE WEBSITE, APPLICATION, OR ANY CONTENT OR FILES ACCESSED THROUGH THEM.

THIS LIMITATION APPLIES EVEN IF AYYES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE.

Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.
IN SUCH JURISDICTIONS, AYYES’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYYES’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AYYES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to indemnify AYYES from claims arising from:

  • Your use of the Services
  • Your content
  • Your violation of this Agreement
  • Misuse of monitoring or AI features

20. Termination

AYYES may suspend or terminate access for:

  • Violations of this Agreement
  • Non‑payment
  • Fraud
  • Legal requirements
  • Security concerns

Upon termination:

  • Access ends
  • Data may be deleted after retention periods

21. Governing Law & Venue

This Agreement is governed by the laws of the State of Texas, United Stated of America.
All disputes shall be resolved exclusively in a court of competent jurisdiction in Texas.

22. Changes to This Agreement

AYYES may update this Agreement at any time.
Continued use of the Services constitutes acceptance of the updated terms.
